1. AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and DCS Computing GmbH, doing business as engicloud.ai (“engicloud.ai”, “we”, “us”, or “our”), concerning your access to and use of the website https://engicloud.ai, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

By accessing the Site, you confirm that you have read, understood, and agree to be bound by these Terms of Use.
If you do not agree with all of these Terms of Use, you are expressly prohibited from using the Site and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time. The “Last updated” date indicates when changes were made.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction where such use would be contrary to law or regulation.

The Site is not tailored to comply with industry-specific regulations (including HIPAA, FISMA, or GLBA). If your interactions would be subject to such laws, you may not use the Site.

The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site.

2. INTELLECTUAL PROPERTY RIGHTS & COPYRIGHT

Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos (collectively, the “Content” and the “Marks”) are owned or controlled by us or licensed to us.

The Content and the Marks are provided “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Use, no part of the Site may be copied, reproduced, republished, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes only.

We reserve any and all rights that are not expressly granted to you under these Terms Of Use. These include property rights, copyrights, patent rights, trademark rights and all other protection rights to the Site, distribution rights, leasing rights, the right to issue sub licences and the like.

You must notify us immediately in the event that protection rights (e.g. copyrights or patent rights) of third
parties to the Site are asserted against yourself. You authorise us to attend to any disputes with such a third party on its own account. For the duration that we exerts such authority, you must not independently recognise the claims of the third par ty without our consent; thereafter, we shall defend itself against the claims asserted by the third party at its own expense and shall indemnify you against all costs associated with defence against these claims, provided the latter are not attributable to your failure to meet obligations (e.g. contractually non compliant use of the Site.

3. USER REPRESENTATIONS

By using the Site, you represent and warrant that:

  1. All registration information you submit is true, accurate, current, and complete
  2. You will maintain and promptly update such information
  3. You have the legal capacity to comply with these Terms of Use
  4. You are not a minor in your jurisdiction
  5. You will not access the Site through automated or non-human means
  6. You will not use the Site for any illegal or unauthorized purpose
  7. Your use of the Site will not violate applicable laws or regulations

If any information you provide is untrue, inaccurate, or incomplete, we reserve the right to suspend or terminate your account and refuse future use of the Site.

4. USER REGISTRATION

You may be required to register with the Site. You agree to keep your login credentials confidential and are responsible for all activity under your account.

You are required to adopt suitable precautionary measures to ensure that all persons who have access to your account also comply with the obligations by which you are bound under these Terms Of Use.

We reserve the right to remove, reclaim, or change usernames we deem inappropriate, obscene, or objectionable.

We explicitly note that downgrading your account (e.g. from "Pro" to" "Explorer" or from "Explorer" to "Academic") is not possible.

5. FEES AND PAYMENT

We may accept the following payment methods:

  • Stripe
  • EPS

You may be required to pay fees to access certain services. You agree to provide accurate and complete billing information and authorize us to charge your selected payment method.

All payments are made in Euros (€). Prices may change at any time. Applicable taxes may be added where required by law.

If we fail to charge your payment method for any reason, we will retry charging it for a period oof 2 weeks, during which your account will be suspended but your private and public content ist still available on the Platform. However, if after 2 weeks we are still unable to charge the amount owed to us, we will reserve the right to delete your account and any and all Content (public and private) associated with it.

6. FREE TRIAL

We may offer a free trial to new users who register with the Site. The free trial allows you to use certain features of the Site for a limited period of time.

Unless you cancel before the end of the free trial period, your access to the Site may automatically convert to a paid subscription, and you authorize us to charge the applicable fees using the payment method you provided.

We reserve the right to modify or terminate the free trial offer at any time without notice.

7. CANCELLATION

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period unless otherwise stated.

All payments are non-refundable, except where required by applicable law. We do not provide refunds or credits for partially used subscription periods.

8. PROHIBITED ACTIVITIES & FAIR USE

You may not access or use the Site for any purpose other than that for which we make the Site available. Prohibited activities include, but are not limited to:

  • Using the Site for any unlawful purpose
  • Modifying or tampering with the Site in any way. In particular, you must not reverse engineer it or convert it to a readable or alterable format. However, you may extend the scope of the Site by using the API (Application Programming Interface) provided by us.
  • Attempting to bypass or disable security features
  • Copying, scraping, or harvesting data without permission
  • Uploading viruses, malware, or other harmful code
  • Interfering with the operation of the Site or servers
  • Impersonating another user or entity
  • Using the Site to compete with us or build a similar product

We reserve the right to terminate your access if you engage in prohibited activities.

DCS reserves the right, at its sole discretion, to suspend or terminate access immediately in case of suspected malicious or abusive use, without prior notice and without liability.

The Customer shall be liable for any damages resulting from such prohibited use.

9. USER GENERATED CONTRIBUTIONS

The Site may allow you to create, submit, post, or upload content, including text, data, or other materials (“Contributions”).

You are solely responsible for your Contributions and confirm that:

  • You own or have the rights to the content you submit
  • Your Contributions do not infringe third-party rights
  • Your Contributions are lawful and not misleading

We do not endorse or guarantee the accuracy of user-generated content.
Any content flagged as "private" by the User on the Platform will be kept confidential.

10. CONTRIBUTION LICENSE

By submitting Contributions, you grant us a non-exclusive, worldwide, royalty-free, fully paid, transferable license to use, host, store, reproduce, modify, publish, and distribute such Contributions for the purpose of operating and improving the Site.

You retain ownership of your Contributions.

11. SUBMISSIONS

Any questions, comments, feedback, ideas, or suggestions you provide (“Submissions”) are non-confidential and become our sole property.

We may use such Submissions for any purpose without acknowledgment or compensation to you.

12. U.S. GOVERNMENT RIGHTS

If the Site is accessed by any U.S. government entity, the Content is provided as “commercial computer software” and “commercial computer software documentation” under applicable U.S. regulations.

13. SITE MANAGEMENT & FAIR USE

We reserve the right to:

  • Monitor the Site for violations of these Terms
  • Restrict access to the Site
  • Remove or disable content
  • Take legal action against violators

We are not obligated to monitor user activity but may do so at our discretion.

We reserve the right to monitor data connected to use of of the Site by transmitting information on the system environment, such as the IP address, MAC address, location information, server name and the like . We treat such information in strict confidence. We also have the right to have compliance with these Terms confirmed by a recognised auditing firm.

Computation Time Limitation
You acknowledge that the Site operates in a shared computing environment. We reserve the right to impose reasonable limitations on computational resources, including but not limited to execution time, processing capacity, and job prioritization.

Unless otherwise agreed in writing, individual computational jobs may be automatically terminated after a maximum execution time of 10 minutes per run. We shall not be liable for any loss of data, results, or progress arising from such termination.

You are responsible for structuring workloads in a manner compatible with such limitations.

14. PRIVACY POLICY

Your use of the Site is also governed by our Privacy Policy. By using the Site, you consent to the collection and use of your data as described therein.

15. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA)

If you believe that content on the Site infringes your copyright, please contact us with a written notice including:

  • Identification of the copyrighted work
  • Identification of the infringing material
  • Your contact information
  • A statement of good-faith belief
  • A statement that the information is accurate

16. TERM AND TERMINATION

These Terms remain in effect while you use the Site.

We may terminate or suspend your access immediately, without notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Site will cease immediately.

17. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify or discontinue the Site at any time without notice.

We are not liable for interruptions, delays, or errors caused by maintenance, technical issues, or external factors.

The Platform is not guaranteed to be error-free or uninterrupted. Minor defects do not constitute a defect.

18. GOVERNING LAW

These Terms are governed by and interpreted in accordance with the laws of Austria, without regard to conflict-of-law principles.

19. DISPUTE RESOLUTION

Any disputes arising out of or related to these Terms shall be resolved through binding arbitration or competent courts in Austria, unless otherwise required by law.

20. CORRECTIONS

We reserve the right to correct any errors, inaccuracies, or omissions on the Site at any time without prior notice.

21. DISCLAIMER

The Site is provided on an “AS IS” and “AS AVAILABLE” basis.

We make no warranties of any kind, express or implied, including but not limited to warranties of accuracy, reliability, or fitness for a particular purpose.

22. LIMITATIONS OF LIABILITY

Results generated by the Site do NOT replace engineering judgment and require independent validation.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Site.

23. INDEMNIFICATION

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Site
  • Your breach of these Terms
  • Your violation of third-party rights

24. USER DATA

We may retain certain data you transmit to the Site for operational purposes.

You are responsible for backing up your own data. We are not liable for loss or corruption of user data.

25. ELECTRONIC COMMUNICATIONS

By using the Site, you consent to receiving electronic communications and agree that such communications satisfy any legal requirements for written communication.

26. CALIFORNIA USERS AND RESIDENTS

California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs if they have unresolved complaints.

27. MISCELLANEOUS

These Terms constitute the entire agreement between you and us.

If any provision is deemed unenforceable, the remaining provisions remain in full force and effect.

Our failure to enforce any right does not constitute a waiver of such right.
