These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and DCS Computing GmbH, doing business as engicloud.ai (“engicloud.ai”, “we”, “us”, or “our”), concerning your access to and use of the website and platform https://engicloud.ai, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

If you do not agree with all of these Terms of Use, you are expressly prohibited from using the Site and must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time. The “Last updated” date indicates when changes were made.

The Site is not tailored to comply with industry-specific regulations (including HIPAA, FISMA, or GLBA). If your interactions would be subject to such laws, you may not use the Site.

By subscribing to a paid plan, you expressly agree that the service begins immediately and acknowledge that you may lose any statutory right of withdrawal where permitted by applicable law.

Execution of projects is performed on our infrastructure and subject to technical and usage limitations. Accessibility to above listed components as well as its extent depends on the selected subscription.
Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos (collectively, the “Content” and the “Marks”) are owned or controlled by us or licensed to us.
The Content and the Marks are provided “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Use, no part of the Site may be copied, reproduced, republished, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission.
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Site and Services for your internal business or personal purposes in accordance with your selected subscription tier.
We reserve any and all rights that are not expressly granted to you under these Terms Of Use. These include property rights, copyrights, patent rights, trademark rights and all other protection rights to the Site, distribution rights, leasing rights, the right to issue sub licences and the like.
You must notify us immediately in the event that protection rights (e.g. copyrights or patent rights) of third
parties to the Site are asserted against yourself. You authorise us to attend to any disputes with such a third party on its own account. For the duration that we exerts such authority, you must not independently recognise the claims of the third par ty without our consent; thereafter, we shall defend itself against the claims asserted by the third party at its own expense and shall indemnify you against all costs associated with defence against these claims, provided the latter are not attributable to your failure to meet obligations (e.g. contractually non compliant use of the Site.

You may be required to register with the Site. You agree to keep your login credentials confidential and are responsible for all activity under your account.

We reserve the right to remove, reclaim, or change usernames we deem inappropriate, obscene, or objectionable.
We explicitly note that downgrading your account (e.g. from "Pro" to" "Explorer" or from "Explorer" to "Academic") is not possible.
The “Academic” tier is restricted to users with valid academic email addresses. We do not guarantee accurate detection of all institutions and reserve the right to verify eligibility manually and to revoke access where eligibility is not met or not clearly identifiable.
We may accept the following payment methods:
You may be required to pay fees to access certain services. You agree to provide accurate and complete billing information and authorize us to charge your selected payment method.
All payments are made in Euros (€). Prices may change at any time. Applicable taxes may be added where required by law.
If we fail to charge your payment method for any reason, we will retry charging it for a period oof 2 weeks, during which your account will be suspended but your private and public content ist still available on the Platform. However, if after 2 weeks we are still unable to charge the amount owed to us, we will reserve the right to delete your account and all (public and private) Content associated with it. However, - at our choice - the ownership of the public Content associated with your account may be transferred to a default account, and said public Content may remain available on the Site.
All subscriptions are recurring unless cancelled.
We may offer a free trial to new users who register with the Site. The free trial allows you to use certain features of the Site for a limited period of time.
Unless you cancel before the end of the free trial period, your access to the Site may automatically convert to a paid subscription, and you authorize us to charge the applicable fees using the payment method you provided.
We reserve the right to modify or terminate the free trial offer at any time without notice.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period unless otherwise stated.
All payments are non-refundable, except where required by applicable law. We do not provide refunds or credits for partially used subscription periods.
The platform allows execution of user-generated code, including Python-based calculators and projects.

We reserve the right to limit the execution time per project execution, abort executions automatically and reclaim system resources. Availability of computational resources is not guaranteed. You agree to use compute resources fairly in accordance with your subscription tier.
Some content on the platform may be generated using artificial intelligence.

The Site may allow you to create, submit, post, or upload content, including text, data, or other materials (“Contributions”).
You are solely responsible for your Contributions and confirm that:
We do not endorse or guarantee the accuracy of user-generated content.
Public content is visible to all users. Any content flagged as "private" by the User on the Platform will be kept confidential. We do not guarantee absolute confidentiality of private content due to technical, legal, or security constraints.
By submitting public Contributions, you grant us a non-exclusive, worldwide, royalty-free, fully paid, transferable license to use, host, store, reproduce, modify, publish, and distribute such Contributions for the purpose of operating and improving the Site.
Users may create or join teams.
You are responsible for all content you share within teams. We are not liable for the actions of other team members.
You may not access or use the Site for any purpose other than that for which we make the Site available. Prohibited activities include, but are not limited to:
We reserve the right, at our sole discretion, to suspend or terminate access immediately in case of suspected malicious or abusive use, without prior notice and without liability.
You shall be liable for any damages resulting from such prohibited use.
Termination may occur without refund.
Any questions, comments, feedback, ideas, or suggestions you provide (“Submissions”) are non-confidential and become our sole property.
We may use such Submissions for any purpose without acknowledgment or compensation to you.
If the Site is accessed by any U.S. government entity, the Content is provided as “commercial computer software” and “commercial computer software documentation” under applicable U.S. regulations.

We reserve the right to monitor data connected to use of of the Site by transmitting information on the system environment, such as the IP address, MAC address, location information, server name and the like . We treat such information in strict confidence. We also have the right to have compliance with these Terms confirmed by a recognised auditing firm.
Computation Time Limitation
You acknowledge that the Site operates in a shared computing environment. We reserve the right to impose reasonable limitations on computational resources, including but not limited to execution time, processing capacity, and job prioritization.
Unless otherwise agreed in writing, individual computational jobs may be automatically terminated after a maximum execution time of 10 minutes per run. We shall not be liable for any loss of data, results, or progress arising from such termination.
You are responsible for structuring workloads in a manner compatible with such limitations.
Your use of the Site is also governed by our Privacy Policy. By using the Site, you consent to the collection and use of your data as described therein.

These Terms remain in effect while you use the Site.
We may terminate or suspend your access immediately, without notice, for any reason, including breach of these Terms.

These Terms are governed by and interpreted in accordance with the laws of Austria, without regard to conflict-of-law principles.
Any disputes arising out of or related to these Terms shall be resolved through binding arbitration or competent courts in Austria, unless otherwise required by law.
We reserve the right to correct any errors, inaccuracies, or omissions on the Site at any time without prior notice.
The Site is provided on an “AS IS” and “AS AVAILABLE” basis.
We make no warranties of any kind, express or implied, including but not limited to warranties of accuracy, reliability, or fitness for a particular purpose.
Results generated by the Site do NOT replace professional engineering or scientific judgment and require independent validation.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Site, including but not limited to code execution results, data loss, business interruption and incorrect calculations. We are not liable for content created by other users or content generated/assisted by AI. We do not guarantee the accuracy of results.
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
We may retain certain data you transmit to the Site for operational purposes. We do not guarantee data retention after termination. Data may be deleted without recovery.
You are responsible for backing up your own data. We are not liable for loss or corruption of user data.
By using the Site, you consent to receiving electronic communications and agree that such communications satisfy any legal requirements for written communication.
California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs if they have unresolved complaints.
The Site and its services are strictly prohibited for use by any person, entity, or organization located in, under the control of, or a national or resident of any jurisdiction subject to comprehensive EU, UN, or Austrian sanctions, including but not limited to Russia, Belarus, North Korea, Iran, Syria and non-government controlled areas of the Ukraine, specifically Crimea, Sevastopol, Donetsk, Luhansk, Kherson, and Zaporizhzhia.
You may not use the Site if you are listed on any EU, UN, or US government list of prohibited or restricted parties.
We reserve the right to use geofencing, IP-blocking and identity verification technologies to restrict access from sanctioned jurisdictions.
Any violation of this section, or the mere reasonable suspicion of a violation, constitutes a material breach of these Terms. In such cases, we will immediately terminate your account and may report the activity to the relevant Austrian authorities.
These Terms constitute the entire agreement between you and us.
If any provision is deemed unenforceable, the remaining provisions remain in full force and effect.
Our failure to enforce any right does not constitute a waiver of such right.
